Contractual relationship & resale scope
1.1Contract and service scope
These terms apply where a customer's plan authorizes resale of access to Utajir under its own brand. Utajir contracts with the Agency, and the Agency contracts in its own name with clients for its offer. An end client does not become our direct subscriber merely by using a platform-based interface, and Agency status does not authorize signing or giving warranties for our company.
1.2Supplemental provisions
This document supplements the Terms of Service, Billing, Acceptable Use and enabled-feature terms and governs Agency-specific matters under the precedence rules, with the DPA prevailing in its field. An Agency plan label does not include every feature, capacity or referral program; the approved Order and features govern.
White-label & resale license
2.1White labeling
During a valid subscription, you may provide included functions to clients using your brand, domain and available settings, within the Order and rights in marks and materials. This does not transfer Utajir software ownership or authorize copying or offering it outside the Service. Further platform resale by your client needs express authorization; selling its own products or services does not imply that right.
2.2Required disclosures and marks
Customization is limited to what the interface and licence permit, retaining ownership, licence and legal-entity notices required by law or providers. White labeling does not promise that operator or connector identity disappears from every authorization screen or legal message. Materials must not imply external endorsement, certification or authority you do not hold.
Client contracts & seller disclosures
3.1Seller identity and client terms
The Agency discloses its legal identity, contacts, price, cycle, limits, support, cancellation and refunds before client purchase and makes its terms and appropriate privacy notice available. It is responsible for added services and its own promises and must not attribute obligations to Utajir beyond our agreement with it.
3.2Required rules and acceptance records
The Agency ensures clients follow use rules protecting the platform, data and rights consistently with applicable documents and obtains authority to create and administer accounts. It keeps appropriate evidence of accepted terms, authorized party and acceptance time. Incorporating platform use restrictions into its contract does not create a direct Utajir subscription contract with the client.
Pricing, billing & collection
4.1Client pricing and Utajir charges
The Agency sets its offer prices under law and any expressly accepted restrictions. Its subscription and subaccount usage charges to us follow its Order. These Terms impose no minimum resale price. Agency-client invoices are separate from our invoices to the Agency and from payment-provider fees.
4.2Collection, taxes and disputes
The Agency manages offer collection, taxes, refunds and client rights according to its actual role. Client nonpayment does not justify confiscating data or removing legal rights or automatically excuse valid fees owed to us. Errors, credits and refunds follow each relationship's contract; an integration does not authorize us to offset against client sales funds without a separate valid basis.
Support, complaints & escalation
5.1Client support and escalation
The Agency is the support contact for its client offer and discloses its approved hours, scope and response commitments. We provide platform support to the Agency under its Order; faults or incidents within our role are escalated with necessary information and authority. An Agency's support promise does not bind Utajir unless expressly accepted by us.
5.2Unavailability and urgent requests
The Agency maintains an authorized contact and a plan for urgent reports and data rights when its administrator is absent. If it closes or cannot be reached, we assess received requests and authorized options such as export or transfer, without promising automatic continuation or disclosure to an unverified party. Commercial support channels do not delay legal duties or urgent security response.
If an Agency is unreachable or stops operating, its client may email contact@utajir.com with the account link and evidence of its Agency relationship and data rights. We verify the request, attempt contact with the designated account contact and hold disputed control changes during review. Once authority and rights are established, the relevant parties may agree a transfer, export or new direct subscription on accepted terms. Agency closure alone is not consent to transfer ownership, and a client is not required to pay the Agency’s bill to us to exercise a data right required by law. Any new charges for continued service are separate.
Account ownership, delegation & permissions
6.1Permissions and oversight
The Agency grants staff, contractor and client permissions as needed and explains its administrative access to client data. It protects credentials and revokes expired access and must not use support privileges to view another client's business or export data for independent purposes without a valid basis. Available records establish actions and authority rather than create permissions that do not exist.
6.2Accounts and disputed rights
Owning an Agency subscription does not mean owning every client's content or data, and an email address or possession of a password alone does not establish legal title. Administrative or transfer disputes require proportionate evidence of authority and rights, and sensitive changes may be temporarily restricted to protect parties. We do not finally adjudicate disputed ownership or automatically assign it to the first reporter.
Client data processing chain
7.1Processing chain
Roles follow actual purpose. If a merchant determines its customer-database purposes and an Agency processes for it, a contract and authority to engage us as subprocessor are required. If the Agency determines billing or marketing purposes for its offer, it is independently responsible for that processing. One undifferentiated notice does not cover every relationship.
7.2Rights, incidents and exit
The Agency coordinates instructions, rights requests, incidents and deletion with the client and Utajir without undue delay and verifies requests before disclosure. A financial dispute must not obstruct mandatory data rights. On exit, data follows the authorized party's instructions and return/deletion schedule, with template and material licences assessed separately.
Thrive Connector & integration identity
8.1Connector identity
Thrive Connector may appear during external-service connection because it is the technical brand operated by the same Utajir company. The Agency explains this in the connection journey, identifies the beneficiary account and permissions and does not present it as a payment entity, separate company or application made by a different party. App identity, domain and privacy links must match provider-approved settings.
8.2Customization and authorization limits
White labeling must not hide provider-required disclosures or redirect a client's authorization to another account. Authorization comes from the external-service owner or valid representative, is limited to the required function and is revoked when authority ends. Applicable Limited Use requirements remain binding even if the Agency requests broader use.
Client connection to the payment partner
9.1Client subscription with the payment provider
The authorized client contracts directly with the payment-service provider and accepts its terms and business and identity verification. The Agency assists within the client's authority and does not sign for it without permission or present Utajir account acceptance as payment-provider approval. Payment-account holder, seller and funds recipient follow the actual agreement.
9.2Permissions and financial promises
The Agency must not promise guaranteed approval, immediate settlement, guaranteed refunds or reserve release beyond the provider's commitments. Transaction visibility and submitted refund or payout instructions depend on valid permissions and supported integration; displaying a balance does not grant control of it. We remain responsible for our integration obligations, while the provider agreement determines financial-service responsibilities.
Marketing obligations & restrictions
10.1Accurate marketing
The Agency accurately represents available features, plan limits and fees and must not guarantee profits, results or compliance in every country or sector. Certifications, testimonials and performance claims require evidence, and material commission or incentive relationships must be disclosed where required. Do not use materials or marks outside licence or imply nonexistent governmental or professional endorsement.
10.2Business conduct and messaging
The Agency verifies its services and target sectors are lawful and that its messages are authorized and prevents configurations from evading platform or provider rules. Client abuse requires appropriate handling within its knowledge and control, without assuming absolute monitoring of every act. It cooperates in lawful investigation and protects client information under contracts and law.
Account transfers & client exit
11.1Transfer request and transferable assets
Client-account transfer requires identifying the proper owner or authority, receiving party and data and service scope and verifying approvals and rights. Client content is distinguished from licensed Agency templates and Utajir tools; materials transfer only where their terms permit. Phone numbers, domains, payment accounts and external licences are not assumed to transfer automatically with the platform account.
11.2Settlement and continuity
Before execution, expected timing, limits, agreed cost, revocation of old permissions and reconnection plans are explained, avoiding disclosure of another account's data. Fees are settled under the contract creating them; a financial dispute does not transfer data ownership or remove mandatory retrieval rights. We do not guarantee uninterrupted migration where it depends on an unresolved provider or authorization.
Ending the relationship & consequences
12.1Ending the Agency relationship
Suspension and termination grounds, notice and cure follow the Terms of Service, restricting action to affected accounts where feasible. When the licence ends, the Agency stops creating new subscriptions or offering access beyond the permitted term and coordinates truthful client notices about effects and available steps.
12.2Client rights and remaining duties
Authorized continuity, transfer or export and deletion are assessed under actual contracts and rights; ending the Agency contract is not client acceptance of a new contract with us. Valid amounts due, refunds, confidentiality, data protection, ownership and existing claims remain under their terms, without automatically making Utajir responsible to refund Agency client fees.
