Plans & billing cycles
1.1What your subscription includes
Your plan and accepted Order identify the covered account, features, allowances, add-ons and prices. This document governs Utajir's charges to its Contracting Customer; an Agency's client pricing and payments by buyers of your products follow their own contracts as explained below. The accepted Order statement is retained; changing a pricing page alone does not change an existing Order.
1.2Term and collection cycle
Before purchase, the offer identifies monthly or annual charges and what is collected now and on renewal. An annual price shown as a monthly equivalent is a comparison aid; the annual total is collected if that is the accepted offer. Usage allowances may reset monthly within an annual subscription; an annual invoice does not make the entire year's allowances available at once.
Trials & promotional offers
2.1Terms of the specific offer
If we offer a trial or discount, we disclose its duration, eligibility, features, limits, post-offer price and whether a payment method is required before it begins. General marketing language does not create a free trial or refund guarantee absent from the offer. An offer may be limited to a first subscription or one eligible account under disclosed conditions.
2.2Conversion to a paid subscription
A trial converts automatically to a paid subscription only after the conversion method, amount, timing and cancellation route have been explained and the required acceptance obtained. Legally required reminders remain necessary. Trial expiry ends the trial allocation under the offer and data-retrieval process; it does not authorize charges for unapproved use or repeated trial activation to evade allowances.
Payment authorization & renewal
3.1Recurring charge authorization
Automatic renewal applies only if included in the accepted Order, using the disclosed cycle and amount or calculation basis. Collection authority is limited to agreed charges by the proper entity; it does not authorize withdrawals from your sales funds held by a payment partner. Keep billing details and the authorized payment method current and do not use a method you lack authority to use.
3.2Renewal date and prevention
We identify the term end, renewal date and renewal method and send required pre-charge notices. You can prevent renewal through valid cancellation under section 8. Removing an app, not logging in or a card expiring is not a cancellation request, and an unavailable internal procedure must not defeat a statutory cancellation right. Charges after cancellation are reviewed against the request time and its effective date.
Currency, taxes & invoices
4.1Currency and taxes
The offer identifies the contract currency and whether prices include or exclude applicable taxes. Your bank or payment-method provider may apply its own exchange rate or fees; we disclose charges we impose before acceptance. You bear taxes lawfully applicable to your purchase, but this clause does not transfer Utajir's income taxes to you.
4.2Invoices and correction
Invoices identify the actual legal seller and required information. Provide accurate tax details and evidence for any claimed exemption. Errors may be corrected without creating fictitious transactions or retrospectively changing the seller. Billing records are retained as necessary for accounting, legal obligations and disputes under the Privacy Policy; retaining them does not mean keeping all account data.
Add-ons, usage & credits
5.1Allowances and metering
Metering units vary by service, such as messages, AI allowances or additional sites. The offer explains included and separately charged usage, reset cycles and the treatment of attempts or incomplete operations when the provider charges for them. Monthly allowances in an annual subscription reset monthly under the plan; rollover or cash conversion is not assumed unless specified.
5.2Add-ons, overages and credits
Paid add-ons, upgrades or automatic top-ups require the authorized party's approval after disclosure of the price or its basis and available spending controls. Paid or promotional credit validity and consumption order are disclosed before allocation; an undisclosed expiry condition does not forfeit paid value. Incorrect metering may be challenged with transaction details; platform records do not make charges final and unreviewable.
5.3Service-fee credit
Usage credit inside Utajir is an accounting balance for authorized Utajir service fees or consumption, such as messaging, calls or AI. It is not merchant-sales proceeds held by a payment processor, a savings account or a customer-to-customer money-transfer service, and earns no interest. Top-up value, currency, consumption, expiry and any automatic replenishment are disclosed before commitment. On service termination we return unused paid credit after valid outstanding charges; free promotional credit is not cash-redeemable unless its offer says otherwise. These rules do not restrict mandatory refunds.
Upgrades, downgrades & price changes
6.1Upgrades and downgrades
Before you accept a plan change, we explain its effective date, amount due or credit and any proration for the remaining term. If data or usage exceeds the new plan's limits, we identify what requires reduction or export; previewing a downgrade does not trigger content deletion. Viewing a comparison page does not make a price difference payable.
6.2Price changes
Agreed charges for the current term are respected unless the Order contains a specific lawful adjustment mechanism. Future changes and their application are notified before they bind you, with a suitable opportunity not to renew and any acceptance required by law. Where an external service has variable costs, the pass-through method is disclosed in advance; provider cost changes do not justify changing unrelated fees.
We give at least 30 days’ notice of a renewal-price increase, or longer where law requires. If that period has not elapsed before renewal, we do not collect the increase at that renewal without your valid agreement. You may prevent renewal through section 8’s methods.
Failed payments & billing disputes
7.1Collection failure
If collection of a valid charge fails, we identify the amount, charging entity, payment-update route and available period before restriction. Retries remain within the authorization and payment-method terms. We do not impose penalties or collection fees unauthorized by contract and law. Suspension scope and subaccount effects follow the Terms of Service.
Before restricting service solely for nonpayment of a valid undisputed amount, we give at least 7 calendar days’ notice to correct payment or explain a dispute, or longer where law requires. Nonpayment alone does not immediately delete data; termination and retrieval procedures continue to apply.
7.2Disputed charges
Report incorrect, duplicate or unauthorized charges with the invoice reference, date and reason, without sending full card details. We investigate and correct errors or explain the charge basis; the undisputed portion remains payable. Contacting us does not remove a right to dispute with a bank or competent body, and a shorter internal deadline does not automatically extinguish legal rights.
Cancelling a subscription or renewal
8.1Submitting cancellation
An authorized person may cancel renewal through subscription management where available or by emailing contact@utajir.com from the account email, or providing suitable authority evidence if access is lost. Identify the subscription and whether you seek non-renewal or early termination. We record receipt and confirm the effective date and any outstanding amount. A non-renewal request received before renewal collection prevents it; if a valid request coincides with collection, we correct the renewal and refund sums not due. Cancellation does not require buying a service, accepting a retention offer or booking a call.
8.2Effective date and effects
Non-renewal preserves access until the paid term ends unless otherwise agreed or a lawful restriction applies. Immediate termination and refunds depend on the reason, accepted offer and mandatory rights. Account deletion, integration disconnection and ending an add-on are distinct actions whose effects must be explained before execution. Utajir must not continue charging for a renewal that was validly prevented.
Refund eligibility & processing
9.1When a refund is due
We refund charges established to be incorrect, duplicate or unauthorized, and sums due under mandatory rights, a refund guarantee in your accepted offer, or the service-termination and material-functionality-reduction provisions. Outside those cases, voluntary cancellation does not automatically refund an unused part of the paid term; cancelling renewal preserves access through its end. This does not restrict remedies for defective or undelivered Services. There is no general voluntary refund guarantee for a fixed period unless your offer expressly provides one.
9.2Calculation and processing
The amount follows the entitlement, Service and undelivered period where a prorated refund applies, identifying valid separately consumed usage and earlier refunds to prevent duplication. Payment returns to the original method where possible, or an agreed secure alternative if unavailable, with expected timing and actual provider constraints explained. A cash refund due is not replaced with credit without your agreement where required, and undisclosed or unlawful deductions are not made.
9.3Consumer withdrawal from a distance contract
Where EU, EEA or UK consumer distance-contract withdrawal rules apply, you may withdraw from a service subscription within 14 days of contracting, or a longer period required by law, without giving a reason. Send a clear withdrawal statement to contact@utajir.com with your name, account email and subscription date, or use the electronic withdrawal function provided for online contracts where law requires it. That function remains easily accessible during the withdrawal period, identifies the contract and lets you confirm withdrawal, followed by an acknowledgement on a durable medium stating its content and submission date and time. A reason, retention call or marketing consent is not required. No particular wording or sign-in is needed to email us. We return the sum due within 14 days of being informed, or sooner if law requires. Service already supplied during that period is deducted only where you expressly requested early performance and the legal information requirements were met, in proportion to what was supplied. Merely signing in or beginning a continuing subscription does not remove withdrawal rights; we do not automatically treat a platform subscription as a digital-content download that loses that right. Other rights and periods under applicable law remain protected.
9.4Optional withdrawal statement
To Tajir Global Limited, Bayfield Building, 99 Hennessy Rd, Wan Chai, Hong Kong, contact@utajir.com: I notify you that I withdraw from my Utajir subscription contract. State the consumer’s name and address, account email, contract date, subscription description and notification date. The consumer’s signature is needed only if the form is submitted on paper. This wording is optional; any clear withdrawal statement is sufficient and is not rejected merely for differing from this model.
Payment partner subscriptions & services
10.1Payment-provider agreement
The customer contracts with the payment provider for payment services; Utajir supplies the authorized software integration. Processing, verification, settlement, reserves, refunds and disputes are governed by the actual provider agreement. The Utajir interface does not create a bank account or wallet with us, and displaying a transaction status does not mean we hold its funds or decide their release.
10.2Distinguishing refund types
Send requests to refund a direct Utajir subscription to us at contact@utajir.com. Request a merchant-product refund from its seller, with execution through the payment processor according to their roles; address the provider’s own fees with that provider. We handle Utajir integration errors within our responsibilities. A refund due is returned to the payment-method holder under clause 9.2, not to the invoice issuer. Disconnecting the integration does not automatically terminate your processor agreement or prior transaction obligations.
Subscriptions purchased from an agency
11.1Purchases from an Agency
If you purchased the Agency-branded offer, the Agency is its contractual seller and sets its price, support, cancellation and refund terms within the law. Check the seller on your Order and invoice; Utajir's direct prices do not govern a different contract. The Agency's subscription with us is separate, and a client's nonpayment does not automatically excuse fees the Agency owes us.
Access & data after cancellation
12.1Data after subscription end
Preventing renewal does not delete data at the moment of request. End of access, retrieval and deletion follow the Terms of Service and DPA, with notice to the authorized party before final deletion. Stop or transfer tasks, domains and integrations that depend on the subscription, and do not assume cancellation ends a separate external contract.
12.2Settlement and remaining records
Final settlement identifies valid charges and outstanding refunds. Limited invoice, dispute or fraud-prevention records may remain for a lawful reason and necessary period under the Privacy Policy, with use restricted. Keeping those records does not reactivate the account, license use of its content or authorize new collection.
